Introduction

Welcome to RP Portal ("we," "us," "our," the "Platform," or "Service"). These Terms of Service ("Terms") govern your access to and use of the RP Portal platform located at rpportal.com, including all content, features, and services offered.

By accessing or using RP Portal, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.

1. Acceptance of Terms

By creating an account, accessing, or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, including any future modifications. We reserve the right to update these Terms at any time. Your continued use of the Platform after changes are posted constitutes acceptance of the modified Terms.

These Terms constitute a legally binding agreement between you and FiveM Hub. If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Eligibility and User Accounts

2.1 Age Requirements

• You must be at least 13 years old to use this Platform
• If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you may only use the Platform under the supervision of a parent or legal guardian who agrees to be bound by these Terms
• Users under 18 may not make purchases without parental consent

2.2 Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your password
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

2.3 Account Restrictions

• Each person or entity may maintain only one account
• Accounts are non-transferable and may not be sold, traded, or given to others
• You may not create an account using a false identity or misleading information
• You may not create an account if you have been previously banned from the Platform

3. User Content and Conduct

3.1 Content Ownership and License

You retain all ownership rights to content you submit, post, or display on the Platform ("User Content"). By submitting User Content, you grant RP Portal a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating and providing the Platform.

3.2 Content Responsibilities

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the necessary rights to submit the User Content
• Your User Content does not infringe any intellectual property or other rights of third parties
• Your User Content complies with these Terms and all applicable laws

3.3 Prohibited Content

You may not post, upload, or transmit User Content that:

• Is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Infringes any patent, trademark, trade secret, copyright, or other proprietary rights
• Contains software viruses, malware, or any harmful code
• Promotes illegal activities or violates any laws or regulations
• Contains false, misleading, or deceptive information
• Exploits, harms, or attempts to exploit or harm minors
• Impersonates any person or entity, or falsely represents your affiliation with any person or entity
• Contains unsolicited promotions, advertising, or spam
• Violates the privacy or publicity rights of others

3.4 Prohibited Conduct

You agree not to:

• Use the Platform for any illegal purpose or in violation of any laws
• Harass, abuse, threaten, or intimidate other users
• Attempt to gain unauthorized access to the Platform, user accounts, or computer systems
• Interfere with or disrupt the Platform or servers connected to the Platform
• Use any robot, spider, scraper, or automated means to access the Platform
• Reverse engineer, decompile, or disassemble any part of the Platform
• Remove, circumvent, disable, or interfere with security features of the Platform
• Collect or harvest personal information about other users without their consent
• Manipulate metrics such as likes, views, or followers through artificial means
• Create multiple accounts to evade bans or restrictions

4. FiveM Server Listings

4.1 Server Information

When creating a server listing, you agree to:

• Provide accurate and up-to-date information about your server
• Maintain accurate server descriptions, tags, and categories
• Ensure that promotional materials (logos, banners, videos) accurately represent your server
• Update server information promptly when changes occur
• Comply with all FiveM and Rockstar Games terms and policies

4.2 Server Moderation

We reserve the right to:

• Review and approve or reject server listings at our discretion
• Remove or suspend server listings that violate these Terms
• Modify server categories, tags, or information for accuracy
• Remove servers promoting illegal activities, hate speech, or harmful content
• Ban servers or server owners who repeatedly violate our policies

4.3 Server Boosts and Promotions

• Server boosts and promotional features are subject to our approval
• We reserve the right to remove boosted status if servers violate Terms
• Boosted servers must maintain accurate and compliant content
• Boost duration and placement are not guaranteed and may be affected by platform changes

5. Roleplayer Profiles

5.1 Profile Content

When creating a roleplayer profile, you agree to:

• Use appropriate profile pictures, banners, and media
• Provide accurate character descriptions and information
• Respect intellectual property when using character images or themes
• Not impersonate real individuals without permission

5.2 Video and Clip Content

• You may only upload content you have the rights to share
• Content must comply with our prohibited content policies
• Thumbnails must accurately represent video content
• Videos must be appropriate for a general gaming audience

6. Payments, Boosts, and Memberships

6.1 Payment Processing

All payments are processed securely through Stripe, a third-party payment processor. By making a purchase, you agree to Stripe's terms of service and privacy policy.

6.2 Server Boosts

• Boosts provide enhanced visibility and promotional features for a specified duration
• Boost durations are calculated from the time of purchase
• Boost benefits are subject to platform features and may change
• Boosts are non-transferable between servers or users
• We reserve the right to terminate boosts for Terms violations

6.3 Memberships

• Memberships are subscription-based and renew automatically unless canceled
• Membership benefits may include monthly boosts, badges, and exclusive features
• Monthly boosts granted to members must be used within the calendar month
• Unused monthly boosts do not roll over to subsequent months
• You can cancel your membership at any time; cancellation takes effect at the end of the current billing period

6.4 Pricing and Fees

• All prices are displayed in USD unless otherwise specified
• Prices are subject to change with notice
• We reserve the right to modify, suspend, or discontinue any service or pricing
• You are responsible for all taxes associated with your purchases

6.5 Refunds

• Refund requests must be submitted within 7 days of purchase
• Refunds are considered on a case-by-case basis
• No refunds will be provided for services already consumed or used
• Memberships canceled mid-cycle are not eligible for prorated refunds
• We reserve the right to refuse refunds for violations of these Terms
• Chargebacks or payment disputes may result in account termination

7. Intellectual Property Rights

7.1 Platform Content

The Platform and its original content (excluding User Content), features, and functionality are owned by FiveM Hub and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Trademarks

RP Portal, its logo, and any other product or service names or slogans are trademarks of RP Portal and may not be used without our prior written permission.

7.3 Copyright Infringement

We respect the intellectual property rights of others and expect users to do the same. If you believe that your copyrighted work has been infringed, please contact us at legal@rpportal.com with the following information:

• Identification of the copyrighted work claimed to have been infringed
• Identification of the material that is claimed to be infringing
• Your contact information
• A statement that you have a good faith belief that the use is not authorized
• A statement that the information in the notification is accurate
• Your physical or electronic signature

8. Third-Party Services and Links

The Platform may contain links to third-party websites, services, or resources (including Discord, Twitch, YouTube, Twitter, Instagram) that are not owned or controlled by FiveM Hub.

• We are not responsible for the content, privacy policies, or practices of third-party services
• Your interactions with third-party services are solely between you and that third party
• We do not endorse or assume responsibility for third-party content or services
• You acknowledge and agree that we shall not be liable for any damages arising from third-party services

9. Termination and Suspension

9.1 Termination by You

You may terminate your account at any time through your account settings. Upon termination, your right to use the Platform will immediately cease.

9.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the Platform:

• For violation of these Terms
• For fraudulent, abusive, or illegal activity
• If we believe your actions may harm other users or the Platform
• At our sole discretion, with or without cause
• With or without prior notice

9.3 Effect of Termination

• All licenses and rights granted to you will immediately terminate
• You must immediately cease all use of the Platform
• We may delete your account and User Content
• Sections of these Terms that by their nature should survive termination will survive
• Active memberships may be canceled without refund
• Unused boosts or credits will be forfeited

10. Disclaimers and Warranties

10.1 "As Is" Basis

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 No Guarantees

We do not guarantee that:

• The Platform will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Platform will be accurate or reliable
• The quality of any products, services, or information obtained will meet your expectations
• Any errors in the Platform will be corrected

10.3 User Responsibility

You acknowledge that your use of the Platform is at your sole risk. You are solely responsible for any damage to your computer system or loss of data resulting from your use of the Platform.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RP PORTAL, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, use, goodwill, or other intangible losses
• Damages resulting from your access to or inability to access the Platform
• Damages resulting from any conduct or content of third parties on the Platform
• Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless RP Portal, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Platform
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

13. Dispute Resolution and Governing Law

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which RP Portal operates, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.

13.3 Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action.

14. General Provisions

14.1 Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after such changes constitutes acceptance of the modified Terms.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

14.5 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RP Portal regarding the Platform and supersede all prior agreements and understandings.
